C.1 Force majeure
Neither party is liable for failure or delay due to events beyond its reasonable control as defined by article 1218 Civil Code, including natural disasters, war, terrorism, strikes, pandemics, government measures, cyber-attacks, supply-chain disruption, or carrier failure. The affected party notifies the other within 7 days and obligations are suspended for the duration of the event.
C.2 Limitation of liability
For B2B sales and rentals, K2 GRAFIC's aggregate liability is capped at the invoiced amount of the relevant order, with a maximum of 100,000 EUR per claim. Indirect damages, loss of profits, loss of data, and loss of opportunity are excluded. For consumer rentals (Part B), the statutory right to full compensation of foreseeable damages applies — no cap contradicts public policy.
C.3 Intellectual property
All software, firmware and documentation supplied with the equipment remain the property of their respective publishers under their own licence terms. No transfer of IP rights occurs through the sale or rental of hardware. The K2 GRAFIC name, logo and website content are protected under the French Code de la Propriété Intellectuelle and EU Directive 2001/29/EC.
C.4 Personal data
Processing of personal data is governed by our Privacy Policy. The legal basis, retention periods and rights under GDPR and Loi Informatique et Libertés are detailed there.
C.5 Product compliance
All electrical and electronic products sold or rented comply with CE marking, RoHS (Directive 2011/65/EU), REACH (Regulation EC 1907/2006), WEEE (Directive 2012/19/EU — French 'DEEE') and, where applicable, RED (Radio Equipment Directive 2014/53/EU) and the Low Voltage Directive 2014/35/EU. C.6 WEEE / DEEE
As a producer and distributor, K2 GRAFIC is registered with the French Electronic Waste scheme (éco-organisme Ecologic / Ecosystem) under a unique producer ID. An eco-contribution is included in the price and displayed on the invoice. End-of-life equipment can be returned to us free of charge (article L541-10 Code de l'Environnement).
C.7 Mediation & consumer dispute resolution
For individual consumers (Part B rentals), in case of an unresolved dispute after a written complaint to support@k2grafic.com, the consumer may refer the matter free of charge to the consumer mediator CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 14 Rue Saint-Jean, 75017 Paris, www.cm2c.net. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
C.8 Governing law and jurisdiction
These Terms are governed by French law excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For B2B disputes: exclusive jurisdiction of the Tribunal de Commerce de Bordeaux. For consumer disputes: the consumer may choose between the court of the defendant's domicile and the court of the place where the consumer resides at the time of contract (article R631-3 Code de la Consommation).
C.9 Electronic contracting
Electronic signatures affixed via our contracting platform have the legal value of a handwritten signature under Regulation (EU) 910/2014 ('eIDAS'). Invoices are issued and archived electronically in line with article 289 VII CGI.
C.10 Severability
If a court of competent jurisdiction finds any clause of these Terms unlawful or unenforceable, the remaining clauses continue to apply. The invalid clause is replaced by a provision that most closely matches the parties' original intent in compliance with applicable law.
