Terms and Conditions

1. General Provisions
These General Terms and Conditions of Sale ("Terms") govern all sales of products and services by K2 GRAFIC SAS, registered under SIRET 40477673400042, at 1 Rue Vital Carles, 33000 Bordeaux, France, to professional customers. By placing an order, you agree to be bound by these Terms.
2. Eligibility
K2 GRAFIC sells exclusively to: businesses registered in France (with valid SIRET), businesses in the EU (with valid EU VAT number), and self-employed professionals with valid business registration. Consumer purchases are not permitted.
3. Products and Pricing
All prices are wholesale prices exclusive of VAT (HT) unless specified. VAT applies according to delivery destination and buyer VAT status. Prices are subject to change; applicable price is at order confirmation. Volume discounts may be negotiated.
4. Orders
Orders may be placed through our website, email, or account manager. All orders are subject to acceptance. K2 GRAFIC may refuse orders for: unavailability, pricing errors, suspected fraud, or unverified credentials.
5. Payment Terms
Starter tier: Payment upon order or Net 30 days. Growth tier: Net 60 days. Enterprise tier: Net 90 days (subject to credit approval). Late payment incurs interest at 3x legal rate plus 40 EUR collection fee per invoice (Article L441-10 Code de Commerce).
6. Delivery
Delivery times are estimates only. Risk and title pass upon delivery. Inspect goods within 48 hours and report damage immediately. Shipping costs based on destination, weight, and method. Free shipping may apply above certain thresholds.
7. Warranty
Products carry manufacturer warranty. K2 GRAFIC assists in processing warranty claims. Warranty excludes: misuse, unauthorized modifications, normal wear, and failure to follow specifications.
8. Returns and Refunds
Please refer to our separate Refund Policy. B2B transactions are not covered by consumer withdrawal rights (droit de retractation).
9. Rental Services
Equipment rental is subject to a separate Rental Agreement. Periods, rates, maintenance, and return conditions are specified in individual contracts.
10. Limitation of Liability
K2 GRAFIC's liability is limited to product value. We are not liable for indirect, consequential, or special damages including loss of profits, business interruption, or data loss.
11. Force Majeure
K2 GRAFIC is not liable for failures due to events beyond control: natural disasters, wars, strikes, government actions, pandemics, or supply chain disruptions.
12. Governing Law
These Terms are governed by French law. Disputes are subject to the exclusive jurisdiction of the Commercial Court of Bordeaux (Tribunal de Commerce de Bordeaux).
