General Terms & Conditions

Two services, one company. Part A governs wholesale PURCHASE by registered businesses. Part B governs RENTAL of equipment — open to businesses and individual consumers. Part C sets out provisions common to both services.

These General Terms & Conditions (the 'Terms') govern every contractual relationship between SARL K2 GRAFIC ('K2 GRAFIC') and its customers. Placing an order, signing a rental agreement, or clicking 'Submit Inquiry' constitutes unconditional acceptance of these Terms. Any conflicting clause in a customer purchase order is void unless expressly accepted in writing by K2 GRAFIC. These Terms are drafted in English and French; in case of discrepancy the French version prevails before French courts.

PART A

Part A — Wholesale purchase (businesses only)

Part A applies to the outright purchase of goods by professional customers. Wholesale is strictly reserved to legal persons, sole traders and freelancers registered with a valid trade register number. Private individuals cannot purchase wholesale and should refer to Part B (rental).

A.1 Eligibility

Buyer must provide a valid SIRET, SIREN, or intra-EU VAT number. We verify each number on the VIES database before first shipment. K2 GRAFIC reserves the right to refuse any order from a buyer that cannot be identified as a business. No personal (non-professional) purchases are accepted.

A.2 Prices

Prices displayed on the website are indicative retail-equivalent figures in EUR, exclusive of VAT (H.T.). Actual wholesale pricing is confirmed in a written quote after we understand volume, duration and payment terms; volume discounts of up to 40% off list are available. VAT is applied per article 283 CGI (French buyers) or reverse-charged per article 196 of Directive 2006/112/EC (EU buyers with valid VAT). Exports outside the EU are VAT-exempt under article 262 CGI subject to proof of export.

A.3 Minimum order

First order minimum: 500 EUR H.T. Subsequent orders: no minimum. Minimum Order Quantity (MOQ) per SKU is disclosed in the quote.

A.4 Orders and acceptance

Orders are formed by a written quote signed by the buyer and countersigned by K2 GRAFIC. The sale is perfected when K2 GRAFIC confirms the order in writing. K2 GRAFIC may refuse any order in case of: stock unavailability, pricing error, credit refusal, suspected fraud, or breach by the buyer of a prior contract.

A.5 Payment terms

New accounts: payment on order (pro-forma). Qualified Growth accounts: Net 30 days. Qualified Enterprise accounts: Net 60 or Net 90 days after credit-insurer approval. Accepted means: SEPA direct debit, wire transfer, business card. Late payment triggers (i) interest at 3 times the legal rate (article L441-10 Code de Commerce), (ii) a fixed recovery indemnity of 40 EUR per invoice, (iii) suspension of pending shipments. Article L441-10 II C. Com. applies.

A.6 Retention of title (clause de réserve de propriété)

Title to the goods passes to the buyer only upon full payment of the price and all ancillary costs. Risk passes on delivery. This retention-of-title clause is effective against third parties in accordance with article L624-16 Code de Commerce and the Rome I Regulation (EC) No 593/2008.

A.7 Delivery and Incoterms

Default Incoterm: DAP (Delivered At Place, Incoterms® 2020) to the buyer's business address. Other Incoterms (EXW, FCA, DDP) available on quote. Delivery times are estimates only; no penalty applies for reasonable delay. The buyer must inspect the goods upon arrival and record any visible defect on the carrier's waybill within 48 hours. Hidden defects follow article 1641 Civil Code (garantie des vices cachés).

A.8 Warranty

All goods are new and benefit from the original manufacturer's commercial warranty (typically 12–36 months). In addition, the statutory warranty against hidden defects under articles 1641 to 1649 Civil Code applies. The legal warranty of conformity (article L217-3 Code de la Consommation) does not apply to B2B sales. K2 GRAFIC coordinates warranty claims with the manufacturer.

A.9 No right of withdrawal for B2B

The 14-day right of withdrawal provided by article L221-18 Code de la Consommation is restricted to consumer contracts. Under articles L221-3 and L221-18, it does not apply to professional buyers whose activity is directly related to the purchase. See Part B for consumer rentals.

PART B

Part B — Rental service (open to everyone)

Part B governs the rental of equipment from our catalogue. Rental is open to any person of legal age (18+) and to any legal entity. Individuals are treated as consumers within the meaning of the preliminary article of the Code de la Consommation and benefit from all consumer-protection rights described below.

B.1 Formation of the rental contract

The rental contract is formed when the renter signs — electronically or on paper — the Bon de Location issued by K2 GRAFIC. The renter must present a valid government ID and a credit or debit card for the security deposit. For distance contracts (phone, email, website booking), the contract is formed on receipt of written confirmation from K2 GRAFIC.

B.2 Rental periods and rates

Standard periods: day (24h), weekend (Fri evening → Mon morning), week (7 days), month (30 days). Rates are displayed in EUR including or excluding VAT depending on buyer status. Extensions must be requested before the agreed return time; unauthorised extensions are billed at 150% of the daily rate plus potential compensation to the next customer.

B.3 Security deposit (dépôt de garantie)

A security deposit is required for every rental, equal to the replacement value of the equipment or a fixed amount disclosed in the quote. The deposit is taken as a pre-authorisation on the renter's card and released within 7 business days after return, subject to inspection. In case of damage, loss or theft, the deposit is partially or fully retained up to the damage value, without prejudice to additional claims.

B.4 Right of withdrawal (consumers only)

In accordance with articles L221-18 to L221-28 Code de la Consommation and EU Directive 2011/83/EU, an individual consumer who concludes a rental contract at distance or off-premises has 14 days from the formation of the contract to withdraw, without giving any reason. The standard withdrawal form is available at www.k2grafic.com/refund. IMPORTANT EXCEPTION (article L221-28 13°): if the consumer expressly requests that the rental service starts before the 14-day period expires and the service is FULLY PERFORMED before the end of that period, the right of withdrawal is lost. For ongoing rentals interrupted by withdrawal, the consumer owes an amount proportional to the service already rendered.

B.5 Obligations of the renter

Use the equipment as a 'bon père de famille' (article 1728 Civil Code). Respect the manufacturer's specifications. Do not sub-rent, lend or modify the equipment. Maintain the equipment during the rental. Insure the equipment against theft, fire and damage for its full replacement value, or subscribe to our optional all-risk insurance (3–7% of the rental price). Return the equipment clean, complete, and in its original case at the agreed time and place.

B.6 Damage, loss and theft

On return, equipment is inspected in the renter's presence whenever possible. Damage beyond normal wear is billed at repair cost or replacement value. In case of theft, the renter must file a police report within 24 hours and provide a copy to K2 GRAFIC; the deposit is retained and any balance is invoiced. The renter's civil liability (article 1732 Civil Code) applies.

B.7 Late returns

Each calendar hour of unauthorised delay is billed at 1/10 of the daily rate, capped at 200% of the daily rate per day. Delays exceeding 72 hours may be considered as conversion (abus de confiance, article 314-1 Penal Code) and trigger a complaint.

B.8 Cancellation

Consumer cancellations more than 48h before the collection date: full refund. Between 48h and 24h: 50% of the rental price retained. Less than 24h or no-show: 100% retained. These charges compensate for blocked availability and are considered a reasonable liquidated damages clause (article 1231-5 Civil Code).

PART C

Part C — Provisions common to both services

C.1 Force majeure

Neither party is liable for failure or delay due to events beyond its reasonable control as defined by article 1218 Civil Code, including natural disasters, war, terrorism, strikes, pandemics, government measures, cyber-attacks, supply-chain disruption, or carrier failure. The affected party notifies the other within 7 days and obligations are suspended for the duration of the event.

C.2 Limitation of liability

For B2B sales and rentals, K2 GRAFIC's aggregate liability is capped at the invoiced amount of the relevant order, with a maximum of 100,000 EUR per claim. Indirect damages, loss of profits, loss of data, and loss of opportunity are excluded. For consumer rentals (Part B), the statutory right to full compensation of foreseeable damages applies — no cap contradicts public policy.

C.3 Intellectual property

All software, firmware and documentation supplied with the equipment remain the property of their respective publishers under their own licence terms. No transfer of IP rights occurs through the sale or rental of hardware. The K2 GRAFIC name, logo and website content are protected under the French Code de la Propriété Intellectuelle and EU Directive 2001/29/EC.

C.4 Personal data

Processing of personal data is governed by our Privacy Policy. The legal basis, retention periods and rights under GDPR and Loi Informatique et Libertés are detailed there.

C.5 Product compliance

All electrical and electronic products sold or rented comply with CE marking, RoHS (Directive 2011/65/EU), REACH (Regulation EC 1907/2006), WEEE (Directive 2012/19/EU — French 'DEEE') and, where applicable, RED (Radio Equipment Directive 2014/53/EU) and the Low Voltage Directive 2014/35/EU. C.6 WEEE / DEEE

As a producer and distributor, K2 GRAFIC is registered with the French Electronic Waste scheme (éco-organisme Ecologic / Ecosystem) under a unique producer ID. An eco-contribution is included in the price and displayed on the invoice. End-of-life equipment can be returned to us free of charge (article L541-10 Code de l'Environnement).

C.7 Mediation & consumer dispute resolution

For individual consumers (Part B rentals), in case of an unresolved dispute after a written complaint to support@k2grafic.com, the consumer may refer the matter free of charge to the consumer mediator CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 14 Rue Saint-Jean, 75017 Paris, www.cm2c.net. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

C.8 Governing law and jurisdiction

These Terms are governed by French law excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For B2B disputes: exclusive jurisdiction of the Tribunal de Commerce de Bordeaux. For consumer disputes: the consumer may choose between the court of the defendant's domicile and the court of the place where the consumer resides at the time of contract (article R631-3 Code de la Consommation).

C.9 Electronic contracting

Electronic signatures affixed via our contracting platform have the legal value of a handwritten signature under Regulation (EU) 910/2014 ('eIDAS'). Invoices are issued and archived electronically in line with article 289 VII CGI.

C.10 Severability

If a court of competent jurisdiction finds any clause of these Terms unlawful or unenforceable, the remaining clauses continue to apply. The invalid clause is replaced by a provision that most closely matches the parties' original intent in compliance with applicable law.
